Terms of Service — MemoryBank

1. Acceptance of Terms

By creating an account or using MemoryBank (“the Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a binding agreement between you and MemoryBank (“we,” “us,” or “our”).

You must be at least 18 years old to create a parent account. By registering, you confirm that you are 18 or older and, where required, the parent or legal guardian of any children whose information you add to your account.

2. Description of Service

MemoryBank is a family investment dashboard that displays real-time brokerage data for children's accounts. The Service connects to financial institutions via OAuth on your behalf and presents portfolio information on web browsers and dedicated display devices. MemoryBank is a display and education tool only — it does not provide investment advice, execute trades, or move funds.

3. Account Registration

Parent accounts are created via Clerk using email/password or Google social login. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@mymemorybank.app if you suspect unauthorized access.

Kid devices are authenticated via device tokens minted through a 6-digit pairing flow. You are responsible for the security of paired devices in your household. You may revoke any device token at any time from the Devices page.

4. Subscription Plans & Billing

MemoryBank offers free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annual) via Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation: You may cancel your subscription at any time from the Billing page. Your access continues until the end of the current billing period. No partial refunds are issued for unused time on monthly plans.
Annual plans: Annual subscriptions may be eligible for a prorated refund within 14 days of purchase. Contact us to request a refund.
Price changes: We will notify you by email at least 30 days before any price change takes effect. Continued use after the change constitutes acceptance of the new price.
Failed payments: If a payment fails, we will attempt to collect payment up to three times over seven days before suspending your paid features. Your data is not deleted during a payment grace period.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law.
Attempt to gain unauthorized access to our systems or another user's account.
Reverse engineer, decompile, or scrape any part of the Service.
Use the Service to display, store, or transmit content that is harmful, abusive, or unlawful.
Resell or sublicense access to the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Brokerage & Financial Data

When you connect a brokerage account, you authorize MemoryBank to retrieve read-only account data (balances, holdings, transactions) on your behalf. We do not store brokerage credentials — only the OAuth tokens issued by the brokerage or by Plaid, stored encrypted. You may revoke this access at any time from the Connections page or directly from your brokerage account settings.

7. Google Photos Integration

Connecting Google Photos is optional. If you choose to connect, you authorize MemoryBank to access only the photos you explicitly select via Google's own Picker interface. We use this data solely to display a screensaver on your family's authorized devices. You may disconnect Google Photos at any time, which immediately revokes our access at Google's servers and deletes all stored photo data.

MemoryBank's use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements.

8. Children's Accounts & COPPA

MemoryBank is a tool for parents and legal guardians. You must be 18 or older to register. By adding a child profile, you represent that you are that child's parent or legal guardian and you consent on the child's behalf to the collection and use of the limited profile information (first name, emoji, color preference) as described in our Privacy Policy.

We do not knowingly allow children to create parent accounts or directly submit personal information. Kid devices access the Service through device tokens minted by the parent — no account credentials are required on the child's device.

9. Intellectual Property

The MemoryBank name, logo, and all original content, features, and functionality of the Service are owned by MemoryBank and are protected by applicable intellectual property laws. You may not use our branding without express written permission.

Your data (portfolio data, photos, child profiles) remains yours. You grant us a limited license to store and display it solely for the purpose of operating the Service.

10. Termination

You may close your account at any time by contacting us. We may suspend or terminate your account for violation of these Terms, non-payment, or for any other reason with reasonable notice where legally required. Upon termination, your right to use the Service ceases immediately. We will delete your personal data in accordance with our Privacy Policy.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that brokerage data will be accurate or up to date. Market data is subject to delays and may not reflect real-time values outside of market hours.

12. Limitation of Liability

To the fullest extent permitted by law, MemoryBank shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to investment losses, data loss, or unauthorized account access. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which MemoryBank is registered, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms. The current version is always available at mymemorybank.app/terms.
